Energetic Health Institute – Affiliate Agreement

This Affiliate Agreement (the “Agreement”) is made between Energetic Health Institute (“EHI”) and the affiliate who enrolls in the program (“Affiliate”). It is designed to support a clear, heart-centered relationship for sharing Life-Healing education with communities while setting expectations around commissions, brand use, and program participation.

By creating an affiliate account or participating in the program, Affiliate agrees to the terms below.

1. Our Shared Purpose

EHI’s affiliate program exists to expand access to holistic health education by empowering aligned partners to share EHI courses, events, and educational experiences with their audiences.

EHI believes education in natural healing can create meaningful transformation in individuals, families, and communities. This program is intended to support that shared mission.

2. Organizational Status

EHI is a 501(c)(3) nonprofit corporation and a distance education school serving students of the healing arts around the world. EHI is proud to operate as a mission-driven educational organization dedicated to public benefit, service, and expanding access to holistic health learning. EHI is not endorsed by, and is not affiliated with, any state or federal governmental agency in the United States or abroad.

Responsibilities & Payouts

3. Joining The Program

There is no formal application process required to participate in the affiliate program. To join, Affiliate must create an affiliate account through EHI’s designated signup process and provide complete, accurate, and current registration information. EHI may request updates to account, tax, payment, or identity information at any time to maintain an active affiliate relationship.

4. Who The Program Is For

This affiliate program is intended for individuals, educators, professionals, community leaders, creators, and organizations who believe in expanding access to holistic health education and who want to share EHI offerings in an honest, ethical, and supportive way.

5. Eligible Offerings

Unless otherwise stated in current program materials, Affiliate may earn commission on qualified referrals for the following eligible offerings:
  • Independent Study Courses
  • Memberships
  • Conferences
  • Summits
  • Special Events
  • Replay Access Products

EHI may add, pause, remove, or update eligible offerings by posting updated information in the affiliate portal, on the website, or by written notice.

6. Affiliate Benefits

Current program benefits may include the following:
  • A 30% discount for Affiliate’s audience on eligible offerings (i.e. courses, replays etc.)
  • A 20% discount for Affiliate’s audience on eligible memberships
  • A 24% commission on qualified sales of eligible offerings
  • Monthly commission
  • Approved marketing materials for website, email, and social media use
  • Early access to selected information and emerging research before public release

EHI may update benefits, discount levels, campaign terms, launch timing, promotional windows, and available materials from time to time.

7. How Commissions Work

Affiliate commissions are currently set at 24% of qualified net sales for approved offerings unless EHI announces a different rate for a specific product, event, or campaign.

For purposes of this Agreement, ‘qualified net sales’ means the amount actually received by EHI for an eligible transaction after deducting refunds, reversals, chargebacks, payment processing corrections, taxes collected, and any unauthorized discounts or fraudulent activity.

Commission is earned only when all of the following are true:
  • The customer used EHI’s approved affiliate tracking method.
  • The purchase is completed and successfully processed.
  • The transaction is not canceled, refunded, disputed, reversed, charged back, duplicated, self-referred, or otherwise disqualified.
  • The sale remains valid through any applicable refund or review period.

Unless EHI states otherwise in writing, commissions are not paid on taxes, processing fees, internal test transactions, complimentary enrollments, staff purchases, or purchases made by the Affiliate on their own behalf.

Commissions do not become payable immediately upon a tracked sale. Instead, commissions become payable three full calendar months after the end of the month in which the sale occurred. This review period allows EHI time to account for refunds, reversals, chargebacks, merchant processor disputes, and other transaction-related issues before commissions are approved for payout.

8. Tracking, Attribution, and Referral Window

Affiliate must use the unique tracking links, codes, or tools provided through EHI’s affiliate system in order for referrals to be attributed correctly.

The applicable cookie duration, attribution model, and tracking rules may be specified in the affiliate portal or current program materials. If no specific rule is posted, EHI will apply its then-current tracking logic in good faith based on the data reasonably available in its systems.

EHI is not responsible for commissions lost due to broken links, altered links, browser restrictions, customer cookie settings, ad blockers, third-party platform limitations, or Affiliate failure to use the approved tracking tools correctly.

9. Payout Schedule and Payment Requirements

Approved commissions are paid monthly, after completion of the three-month review period described in Section 7 and subject to the minimum payout threshold described in this Section.

Unless otherwise stated in the affiliate portal, monthly payouts are processed only for commissions that have completed the three full calendar months of refund, chargeback, and reconciliation review following the end of the month in which the related sale occurred. This review period allows EHI time to account for refunds, reversals, merchant processor disputes, and other transaction-related issues before commissions are released.

The minimum payout threshold is $50 USD. If an Affiliate’s approved commission balance is below $50 USD at the time of a monthly payout cycle, no payment will be issued for that cycle, and the unpaid balance will remain in the Affiliate’s account and continue to accumulate until the minimum payout threshold is reached.

Affiliate is responsible for maintaining accurate payment details, legal name, business details if applicable, mailing address, and tax information. EHI may withhold payouts until required tax documents, payment setup, identity verification, or compliance information are received and approved.

Available payment methods, supported currencies, and international payout options may vary by country, payment provider, and administrative requirements.

10. Affiliate Responsibility to Report Issues

To keep everything flowing smoothly, it is the Affiliate’s responsibility to promptly notify the Affiliate Coordinator of any commission questions, missing payouts, changes to payment method, or updates to tax or account information.

Affiliate must also promptly report any broken tracking links, suspected account errors, or any other issue that may affect accurate payment or program administration.

EHI is not responsible for payment delays or commission issues caused by outdated information, unreported payment changes, or delay in reporting account concerns through the designated affiliate support channel.

11. Taxes

Affiliate is solely responsible for determining, reporting, and paying all taxes arising from commissions received under this Agreement, except where EHI is required by law to withhold or report amounts.

EHI may require forms such as W-9, W-8BEN, or similar documentation before issuing payment, and may withhold amounts where required by applicable law.

Policies

12. Discounts, Promotions, and Special Offers

Any audience discount, bonus, promotional campaign, early-bird rate, launch incentive, or limited-time offer must be used exactly as communicated by EHI.

Affiliate may not create independent coupon codes, modify pricing, stack offers, promise additional discounts, bundle products, or advertise expired promotions unless EHI has provided prior written approval.

EHI may change commission rates or promotional terms for specific campaigns, launches, or offers by updating program materials, sending notice through the affiliate system, or other official communication channels.

13. Marketing with Integrity

EHI welcomes affiliates who share from the heart and communicate in alignment with the spirit of natural healing education.

Affiliate agrees to promote EHI in a truthful, respectful, and lawful manner and to present EHI offerings as educational resources rather than as medical diagnosis, treatment, cure, or guaranteed outcome.

Affiliate shall:
  • Use only current, accurate, and approved descriptions, offers, graphics, and talking points.
  • Comply with all advertising, privacy, anti-spam, endorsement, and consumer protection laws.
  • Clearly disclose the affiliate relationship whenever required by law or platform policy.
  • Respect the integrity of EHI’s message, instructors, mission, and community.
  • Avoid exaggerated, misleading, unsubstantiated, or fear-based claims.

14. Approved Channels and Restricted Promotions

Unless EHI approves otherwise in writing, Affiliate may promote EHI through owned or controlled channels such as websites, blogs, email newsletters, webinars, podcasts, and social media accounts that follow this Agreement.

Affiliate may not:
  • Send unsolicited commercial email or messages in violation of applicable law.
  • Use spam, misleading redirects, fake reviews, fake testimonials, or impersonation.
  • Bid on EHI brand names, course names, event names, or confusingly similar terms in paid advertising without prior written approval.
  • Post on coupon, rebate, deal, or incentive sites using unauthorized offers.
  • Use domain names, page names, social handles, or ad copy that imply Affiliate is EHI or officially speaks for EHI.

15. Brand and Intellectual Property Use

EHI remains the sole owner of its names, logos, trademarks, course titles, event names, videos, graphics, copy, educational content, and all related intellectual property.

Affiliate receives a limited, revocable, non-exclusive, non-transferable license to use only the approved marketing materials provided by EHI. This is only for the purpose of participating in the affiliate program during the term of this Agreement.

EHI will provide the marketing and branding assets to be used in connection with Affiliate promotions, including approved images, messaging, copy, and other promotional materials. Affiliate agrees to use only the official EHI marketing materials and branding assets provided or approved by EHI when promoting EHI offerings and may not alter, substitute, or create replacement materials without prior written approval. If Affiliate has any questions, concerns, or issues regarding the proper use, availability, or accuracy of EHI marketing or branding assets, Affiliate is responsible for promptly contacting the EHI Affiliate Co- ordinator for guidance.

Affiliate understands that EHI, including through its Affiliate Co-ordinator, may review or audit Affiliate promotional content, including social media posts and related marketing activity, to confirm proper use of approved materials and compliance with this Agreement. Failure to use the proper approved assets, or failure to correct non-compliant promotional content after notice, may result in suspension or termination of the affiliate relationship.

The frequency and volume of Affiliate’s promotional efforts remain at Affiliate’s sole discretion. However, Affiliate understands that reduced promotional activity will generally result in fewer referred sales and therefore lower commissions.

Affiliate may not edit, repurpose, or redistribute EHI content beyond the scope of approval. All use of EHI brand assets must stop immediately upon suspension or termination.

Affiliate may not state or imply that EHI is endorsed by, sponsored by, or affiliated with any state, federal, or foreign governmental agency unless EHI has provided written authorization for that exact statement.

16. Account Standards and Program Conduct

Affiliate agrees to keep account information current and to operate in a way that reflects professionalism, trust, and alignment with EHI’s educational mission.

EHI may monitor affiliate activity, review promotional methods, and request clarification or correction if content, claims, audience targeting, or traffic practices appear inconsistent with this Agreement or with EHI’s values.

General Policies

17. Fraud Prevention and Commission Reversals

EHI may investigate any transaction, traffic source, or promotional practice that appears irregular, deceptive, abusive, or fraudulent.

Commissions may be denied, reversed, withheld, offset, or recovered if they result from refunded orders, chargebacks, duplicate transactions, self-referrals, stolen payment methods, bot traffic, cookie stuffing, false representations, unauthorized discounts, or any activity that artificially inflates commissions.

Repeated, or serious, violations may result in immediate suspension or permanent removal from the program.

18. Reporting and Affiliate Statements

EHI may provide access to affiliate reporting tools, dashboard data, payout statements, or campaign updates through its affiliate system or other designated communication channels.

Displayed data is intended to help Affiliate monitor performance, but final commission determinations are based on EHI’s internal records, reconciliation process, and fraud review.

Any questions regarding commissions, or tracking, should be submitted within the review window identified by EHI, or if no window is posted, within 30 days of the applicable statement or payout date.

19. Questions and Support

Affiliates with questions about the program, operational questions, payout issues, and campaign communication etc. may contact EHI Affiliate Coordinator via email at af********@**********************te.org.

It is the Affiliate’s responsibility to promptly contact the Affiliate Coordinator regarding any commission concerns, missing payouts, changes to payment method, changes to tax or account details, or any other issue that may affect accurate payment or program administration. EHI is not responsible for delays caused by outdated payment information or the Affiliate’s failure to report an issue in a timely manner.

Legal

20. Confidential Information

From time to time, EHI may share non-public information with Affiliate, including campaign plans, launch details, unpublished research, promotional timing, pricing changes, business strategy, or internal educational materials.

Affiliate agrees to keep such information confidential and to use it only for participation in the affiliate program unless EHI gives written permission for another use.

21. Privacy and Data Use

Affiliate is responsible for handling personal data collected through its own marketing channels in compliance with applicable privacy laws and platform requirements.

Unless expressly authorized in writing, Affiliate may not claim ownership of EHI customer data, request protected internal customer information, or use referral-related information for any purpose outside lawful affiliate promotion.

22. Term and Inactive Accounts

This Agreement begins when Affiliate creates an account, or first participates in the affiliate program, and continues until terminated.

If an account remains inactive for an extended period, or if required account, tax, or payment details are incomplete, EHI may pause participation, delay payouts, or close the account after reasonable notice where practical.

23. Ending The Relationship

Either party may end this Agreement at any time.

EHI may suspend or terminate Affiliate immediately if there is suspected fraud, misuse of brand assets, legal non-compliance, harmful conduct, misleading promotion, repeated policy violations, or any activity that could damage EHI’s reputation, community trust, or operations.

Upon termination, Affiliate must immediately stop using EHI links, codes, materials, logos, and brand references in a promotional context.

Participation in the Energetic Health Institute Affiliate Program, including but not limited to promotion of EHI offerings and receipt of commissions, constitutes Affiliate’s agreement to the terms of this Agreement. EHI reserves the right to terminate any Affiliate at any time by providing notice via email. In the event of termination by EHI, any approved and/or unpaid commissions properly earned before the termination date will be handled in accordance with Section 24 of this Agreement.

24. Final Commissions After Termination

Following termination, EHI may pay any approved unpaid commissions that were properly earned before the termination date, provided the related transactions remain valid after all refund, review, and compliance checks are complete.

EHI may hold, reduce, or deny final payouts where necessary to account for reversals, unresolved disputes, fraud review, missing tax documentation, or other amounts owed by Affiliate.

25. Disclaimers

EHI offers the affiliate program, tracking tools, educational offerings, and support materials on an “as available” basis.

While EHI aims to support affiliates with integrity and consistency, EHI does not guarantee uninterrupted program access, error-free tracking, any specific launch schedule, or any minimum level of earnings or conversions.

26. Limitation of Liability

To the fullest extent allowed by law, EHI will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, goodwill, data, or business opportunity arising from or related to this Agreement or the affiliate program.

EHI’s total liability under this Agreement will not exceed the total commissions paid, or payable, to Affiliate during the three months before the event giving rise to the claim.

27. Indemnification

Affiliate agrees to defend, indemnify, and hold harmless EHI and its officers, directors, team members, contractors, and representatives from claims, liabilities, losses, damages, costs, and expenses, including reasonable legal fees, arising from Affiliate’s breach of this Agreement, unlawful conduct, misleading promotion, misuse of EHI materials, or violation of any third-party rights.

28. Governing Law and Dispute Resolution

This Agreement will be governed by the laws identified by EHI in its official business records or affiliate program materials, without regard to conflict of law principles.

Before formal legal action is started, the parties agree to first attempt to resolve any dispute informally and in good faith. EHI may also require mediation or another dispute resolution step.

29. Program Updates

As the program grows, EHI may update this Agreement, operational rules, payout procedures, eligible offers, brand requirements, and promotional guidelines from time to time.

Updated terms may be posted on the website, within the affiliate portal, or shared through an official communication channel. Continued participation after updated terms become effective means Affiliate accepts those changes.

30. Entire Agreement

This Agreement represents the complete understanding between EHI and Affiliate regarding participation in the affiliate program and replaces any prior discussions on the same subject.

If any provision of this Agreement is found unenforceable, the remaining provisions will continue in full force.
